Cry. Cry again and some more cry, then you´ll smile. That’s my best advice for negotiating. I’m working on a deal under LOI. SPA draft on the table. DD report in progress. And one big problem: the price was wrong. Equity was almost impossible to secure, so I decided to take a shot from the moon — actually, from its dark side. I spoke to the broker and the seller. I didn’t lie to them. I cried the truth. The bank wouldn’t finance. Equity wouldn’t commit. And my LBO model simply didn’t work at that valuation. The deal was effectively dead. So why not fight a seller known for being tough and purely price-driven? I did. And I managed to secure a €2M reduction on the total price. Now the bank is happy. My LPs are almost fighting over the remaining equity. And the deal suddenly makes sense. There’s still some room left. If you like pure-blood operators, DM me — I might be able to make space for you.
